1. B2B Business Model & Sample Orders

  • B2B Nature: We are primarily a business-to-business (B2B) manufacturer and wholesale supplier. Our product catalog, pricing structures, and order fulfillment workflows are tailored for commercial purchasing.

  • Single-Piece / Small Orders as Samples: Any order placed on this site containing single or small quantities of items is strictly deemed a Sample Order for business evaluation purposes (evaluating fabric, sizing, quality, and craftsmanship).

  • All Sales Final: In accordance with commercial B2B standards, all purchases (including sample orders, bulk wholesale orders, and OEM/ODM custom orders) are subject to our Return & Refund Policy and are non-refundable unless explicitly approved under our defective item guidelines.

2. OEM/ODM & Customization Services

  • Intellectual Property Representation: For custom OEM/ODM orders involving custom logos, woven labels, prints, or specific designs, the buyer warrants that they possess full legal rights, trademarks, and intellectual property authorization to use such designs.

  • Indemnification: The buyer agrees to indemnify and hold harmless www.smovov.com from any third-party trademark or copyright infringement claims arising from client-provided logos or designs.

  • Order Approvals: Production of customized goods will begin only after sample or tech pack approval by the client. Once production begins, custom orders cannot be canceled or modified.

3. Accuracy of Product & Pricing Information

  • Color & Sizing Disclaimer: We make every effort to display as accurately as possible the colors and images of our products. However, actual colors may vary slightly due to monitor displays and photography lighting. Sizing measurements are subject to standard garment manufacturing tolerances ($\pm 1-3\text{ cm}$).

  • Price Adjustments: Prices for our products are subject to change without prior notice. We reserve the right at any time to modify or discontinue any product or service without notice.

  • Typographical Errors: In the event a product is listed at an incorrect price due to a typographical or system error, we reserve the right to refuse or cancel any orders placed for products listed at the incorrect price.

4. Orders, Payment & Carrier Shipping

  • Order Acceptance: We reserve the right to refuse or limit any order placed with us at our sole discretion (e.g., suspected fraudulent activity, unauthorized reselling, or stock unavailability).

  • Payment Terms: Full payment is required at checkout for sample/retail orders. For wholesale B2B transactions, terms will be governed by signed proforma invoices (PI) or agreements with your assigned Sales Manager.

  • Shipping & Delivery: Delivery dates provided are estimates only. Actual delivery times are subject to carrier shipping schedules and customs processing. We are not liable for shipping delays caused by international logistics carriers, customs clearance procedures, or force majeure events.

5. Intellectual Property Rights

All content on this website, including but not limited to text, images, graphics, logos, product designs, banners, and software, is the exclusive property of www.smovov.com and is protected by international copyright and intellectual property laws.
